So Ekaterina Dbar, Lead Legal Adviser in her article Issues of Ratio of Net Assets to Charter Capital analyses emerging risks under negative net assets. As the lawyer notes such risks may emerge in the second year of operation in case of negative value of net assets. According to the author, position, according to which the ground for decreasing charter capital or liquidation of entity can be constituted when at the end of two financial years in a row cost of net assets is less than charter capital, is wrongful. “We presume that the first financial year of entity existence is not accounted when calculating ratio of net assets to charter capital and countdown of financial periods starts with the date of establishment (registration) of entity”, Ekaterina Dbar notes.
